Mining Limited ACN 075 664 961 (Company)
has produced a prospectus in connection with its listing on
the Australian Securities Exchange (ASX)
(Prospectus) and has lodged the Prospectus
with the Australian Securities and Investments Commission
(ASIC) on 24 March 2011. The Prospectus is for the offer of
7,000,000 ordinary shares at an issue price of $1.00 per share
to raise $7,000,000 (Offer).
The Prospectus is subject to an exposure period of 7 days
from the date of lodgement with ASIC. This period may be extended
by ASIC for a further period of up to 7 days. The purpose
of this exposure period is to enable the Prospectus to be
examined by market participants prior to the raising of funds
as such examination may result in the identification of deficiencies
in the Prospectus. If the Prospectus is found to be deficient,
then applications that were received during the exposure period
will be dealt with in accordance with section 724 of the Corporations
Act (2001) (Cth) (Corporations
Act). Any applications received during the
exposure period will not be processed until after the expiry
of the exposure period.
The expiry date of the Offer is 13 months after the date of
the Prospectus (unless closed earlier).
The Company has also produced a supplementary prospectus (Supplementary
Prospectus) which is intended to be read with
the Prospectus. The Supplementary Prospectus is dated 1 April
2011 and was lodged with the ASIC on that date. ASIC and ASX
take no responsibility for the contents of the Prospectus
or this Supplementary Prospectus.
The Supplementary Prospectus must be read in its entirety
and in conjunction with the Prospectus.
Pursuant to section 719(4) of the Corporations Act, the Prospectus
is taken to include the Supplementary Prospectus. Terms used
in the Supplementary Prospectus have the same meaning as in
the Prospectus unless otherwise defined or the contrary intention
appears. References to Sections are sections in the Prospectus
unless otherwise stated.
All references to the Prospectus include references to the
Supplementary Prospectus. The Offer is available to persons
receiving an electronic version of the Prospectus and the
Supplementary Prospectus in Australia.

LODGEMENT OF PROSPECTUS WITH ASIC
The paper form of the electronic Prospectus accessible through
this website has been lodged with ASIC.
An application for shares pursuant to the Offer can be made
by either:
a) printing and completing the relevant Application Form
attached to or accompanied by the electronic Prospectus;
or
b) completing the relevant Application Form attached to
or accompanied by a paper form of the Prospectus; and then
c) lodging the Application Form and the application monies
in accordance with the details set out in the Prospectus
and the Application Form.
The Corporations Act prohibits the distribution of the Application
Form unless such Application Form is included in a copy of
the Prospectus or is accompanied by a copy of the Prospectus.
